• Client: Refers to the individual or entity engaging Amin Digital Marketing for services.
• Company: Refers to Amin Digital Marketing.
• Services: Refers to all services provided by Amin Digital Marketing, including but not limited to SEO, content marketing, social media marketing, PPC advertising, email marketing, web design and development, analytics and reporting, online reputation management, network solutions, and network security.

2. Acceptance of Terms

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.

3. Services

• Scope: The Company will provide the services outlined in the service agreement signed by the Client.
• Changes: Any changes to the scope of services must be agreed upon in writing by both parties.

4. Fees and Payment

• Pricing: Fees for services will be outlined in the service agreement.
• Payment Terms: Payment terms will be specified in the service agreement. Invoices are payable upon receipt unless otherwise stated.
• Late Payments: Late payments may incur additional charges as specified in the service agreement.

5. Client Obligations

• Access and Cooperation: The Client agrees to provide the Company with access to all necessary information, systems, and cooperation required to perform the services.
• Content and Materials: The Client is responsible for providing accurate and complete content and materials required for the services.

6. Confidentiality

• Confidential Information: Both parties agree to keep confidential all information that is not publicly available and is disclosed by one party to the other.
• Non-Disclosure: Neither party will disclose confidential information to third parties without prior written consent from the other party.

7. Intellectual Property

• Ownership: All intellectual property developed by the Company in the course of providing services remains the property of the Company until full payment is received.
• License: Upon full payment, the Company grants the Client a non-exclusive, non-transferable license to use the deliverables.

8. Termination

• Termination by Client: The Client may terminate the service agreement with 30 days’ written notice.
• Termination by Company: The Company may terminate the service agreement immediately if the Client fails to comply with these terms and conditions.
• Effect of Termination: Upon termination, all outstanding fees for services provided up to the termination date must be paid within 30 days.

9. Warranties and Disclaimers

• Services: The Company will provide services in a professional manner consistent with industry standards.
• No Guarantee: The Company does not guarantee specific results from the services provided.

10. Liability

• Limitation of Liability: The Company’s liability for any claim arising out of these terms and conditions or the services provided shall be limited to the amount paid by the Client for the services in the 12 months preceding the claim.
• Indemnification: The Client agrees to indemnify and hold harmless the Company from any claims arising out of the Client’s use of the services or breach of these terms and conditions.

11. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom.

12. Amendments

The Company reserves the right to amend these terms and conditions at any time. The Client will be notified of any changes, and continued use of the services constitutes acceptance of the amended terms and conditions.

13. Severability

If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These terms and conditions, together with the service agreement, constitute the entire agreement between the Client and the Company and supersede all prior agreements and understandings.
